UNBINDING CONVENIENCE AUTOMATED ENGLISH TRANSLATION:

GENERAL TERMS AND CONDITIONS (GTC) FOR THE USE OF THE ONLINE SHOP AND WESTWING DESIGN SERVICES ON WWW.WESTWING.AT

Below, we present our General Terms and Conditions (hereinafter referred to as "GTC"), which we use as the basis for the use of the Westwing online shop and for personal interior design advice (Westwing Design Services) on the website www.westwing.at. By placing your order, you accept the following GTC of Westwing GmbH, Moosacher Str. 88, 80809 Munich (hereinafter referred to as "Westwing").

These GTC apply to consumers with a billing address in Austria who take advantage of the offers on our website. A consumer within the meaning of these GTC is any natural person who enters into a legal transaction for purposes that are predominantly neither commercial nor their independent professional activity.

1. GENERAL INFORMATION AND SCOPE

1.1 Westwing operates an online shop and a personal interior design service (hereinafter referred to as "Westwing Design Services") on the website www.westwing.at.

1.2 Persons must be at least 18 years of age to use the offers available in the online shop and from Westwing Design Services.

1.3 The goods and services are generally only sold in quantities customary for households.

1.4 These General Terms and Conditions apply to all contracts concluded between Westwing and a consumer via the website www.westwing.at.

1.5 If deadlines (e.g. delivery deadlines) are specified in (working) days, this shall include all weekdays with the exception of Saturdays, Sundays and public holidays.

2. USE OF THE WEBSITE WWW.WESTWING.AT

2.1 When ordering goods and/or services, you must register by creating a user profile. You are responsible for ensuring that the information you provide when placing your order is complete and accurate. You are also obliged to keep your information up to date. If the information you have provided changes during your use of the website, you must correct the information immediately. You are obliged to treat your passwords and any other access data confidentially and to protect them from access by unauthorised third parties.

2.2 You are solely responsible for the content of product reviews that you post in areas accessible for this purpose. You guarantee that your own content does not infringe or violate the rights of third parties (e.g. personal rights or copyrights). By transmitting the content to Westwing, you grant Westwing and all companies affiliated with Westwing within the Westwing Group (hereinafter referred to as the "Westwing Group") all simple (non-exclusive) rights of use, unrestricted in terms of time, location and content, including the right to transfer these rights to third parties, which Westwing requires for the publication and distribution of the content, in whole or in part, on the websites of the Westwing Group.

2.3 In your customer account, you can view your open, recently shipped and/or completed orders and change them if necessary, as well as manage and store your own data, vouchers, newsletters and notifications in a differentiated manner.

2.4 You may only register with one customer account on the website www.westwing.at and only operate one customer account at a time. If Westwing detects multiple registrations, Westwing may delete them.

2.5 Westwing reserves the right to issue warnings, reject orders, restrict the available payment methods, block access to the website www.westwing.at, block user accounts or delete transmitted content (e.g. product reviews) if the provisions of these GTC are violated or if there is abusive or illegal behaviour. Abusive behaviour includes, in particular, disrupting or manipulating technical processes and attempting to gain unauthorised advantages to the detriment of Westwing or other customers. Your right of withdrawal under Section 13 is not restricted in any way by the aforementioned measures. Any claims for damages by Westwing remain unaffected.

3. CONTRACTUAL PARTNER, LANGUAGE AND CONCLUSION OF THE CONTRACT

3.1 The contractual partner when concluding contracts on the website www.westwing.at is Westwing.

3.2 The website www.westwing.at is operated in German and English. Contracts via the website are concluded exclusively in German.

3.3 The offer of goods and services on www.westwing.at is not a binding contractual offer within the meaning of § 861 ABGB (Austrian Civil Code), but is to be understood as a non-binding invitation to submit an offer (so-called "invitatio ad offerendum"). After the selected products and services have been placed in the virtual shopping basket and the electronic ordering process has been completed, you submit a legally binding contractual offer for the goods and services in the virtual shopping basket at that time by clicking on the "Buy now" button. After submitting your offer, you will receive an email from Westwing confirming receipt of your offer and the order details ("order confirmation"). The order confirmation from Westwing does not constitute acceptance of the contract. Westwing is free to decide not to accept offers. If an offer is not accepted by Westwing, Westwing will inform you immediately by email. The contract is accepted by a separate email with a shipping confirmation or confirmation of the provision of the service.

3.4 The order confirmation contains a cancellation policy. You can also view the General Terms and Conditions at any time at , https://www.westwing.at/i/terms_and_conditions/ and. You can always view your order details in the login area.

3.5 You must ensure that the email address you provide for order processing is correct so that emails sent by Westwing can be received at this address. In particular, if you use spam filters, you must ensure that all emails sent by Westwing or by third parties commissioned by Westwing for order processing can be delivered.

4. PRICES AND SHIPPING COSTS

4.1 For orders of goods and services on the website www.westwing.at, the prices stated on the respective product detail page at the time of your order apply. The prices are total prices including statutory value added tax and packaging. Shipping costs and, if applicable, costs for an additionally bookable assembly service (see section 5) will be added.

4.2 The product prices in your virtual shopping basket always correspond to the current price on the product detail page. This means that the current product price may differ from the price at which you added the product to your virtual shopping basket. When you add a product to your virtual shopping basket, you are not reserving the price displayed at that time. The price of a product may increase or decrease between the time you add it to your virtual shopping basket and the time you actually purchase it.

4.3 Shipping costs are charged separately for each order and are based on the price stated on the product detail page. This depends, among other things, on the size, weight and type of shipping. The latter is at the discretion of Westwing.

5. ASSEMBLY SERVICE

5.1 For selected products, assembly or installation at the desired location is offered as an additional separate service in almost all areas of Austria (hereinafter referred to as "assembly service"). If you would like the product to be assembled in such a case, you can order the assembly service by ticking the "Assembly service" box on the product detail page when adding a product to your shopping basket, placing the item in the virtual shopping basket and completing the order by clicking on the "Buy now" button.

Assembly shall be carried out in accordance with the respective assembly instructions.

5.2 Westwing shall provide the assembly service itself or through third parties (subcontractors) acting on Westwing's behalf, at its discretion. You are not entitled to choose a specific person to perform the desired assembly service.

5.3 After placing your order, you will be contacted by Westwing or a Westwing subcontractor to arrange an appointment. A suitable and easily accessible environment must be provided for the provision of the assembly service and, where necessary, you must cooperate in an appropriate manner (e.g. by providing access and sufficient space for assembly). Westwing does not guarantee that the goods can actually be set up or installed in the rooms intended for this purpose. Westwing reserves the right not to perform the assembly service if assembly is not possible due to lack of space.

5.4 Painting and wallpapering work and/or electrical installations as well as wall and ceiling installations are excluded from the assembly services.

5.5 When ordering the assembly service, additional costs for this service will be charged on top of the purchase price in accordance with the price displayed when you place your order or on the appointment booking website.

5.6 The risk of accidental loss and accidental deterioration of the goods shall only pass to you after completion of the assembly service and handover.

5.7 Westwing and its subcontractors are entitled to carry out an inspection after assembly and to produce photographic material for documentation purposes.

6. WESTWING DESIGN SERVICES

6.1 With Westwing Design Services, Westwing offers personal interior design advice via the website www.westwing.at (hereinafter referred to as "Westwing Design Service(s)" or "Service").

6.2 The Services are provided by telephone or online via video conference with screen sharing, and in the case of Westwing Design Services Deluxe, also partly on site.

6.3 The Services are provided by Westwing or a subcontractor of Westwing.

6.4 As part of the Westwing Design Services, you will receive a professional interior design concept based on the information you provide, along with a personal shopping list. The exact scope of services and the respective costs of the individual Westwing Design Services are listed on the website www.westwing.at in the Design Service section.

6.5 Westwing reserves the right to refuse the Westwing Design Services or their performance if you have provided incorrect information regarding the premises.

6.6 Westwing reserves the right to cancel appointments for the provision of services up to 12 hours before the appointment and will inform you in advance of any cancellation. In cases where an appointment is cancelled, you will be offered a new appointment or a refund if no new appointment can be arranged. You may also cancel the agreed appointment free of charge up to 12 hours before the appointment. In this case, Westwing will offer an alternative appointment depending on availability.

6.7 Upon provision of the last service within the scope of the booked Westwing Design Services, the contractual relationship for this specific Westwing Design Service shall automatically end. If, at your request, a redesign or reorganisation of the Westwing Design Services provided is necessary, you must book a new Westwing Design Service via the website.

6.8 The copyright and other intellectual property rights relating to the interior design concepts and room concepts designed by Westwing and/or within the scope of the Westwing Design Services belong exclusively to Westwing. Westwing grants you simple (non-exclusive), perpetual and non-transferable rights of use for personal purposes in relation to the services provided within the scope of the Westwing Design Services. Commercial, public use is only permitted with the prior written approval of Westwing. Westwing is entitled to use the results of the Westwing Design Services for advertising purposes (e.g. as planning examples on the website) with your prior consent.

6.9 You are responsible for providing Westwing with information and documents (e.g. floor plans) that may be relevant for the provision of the services provided.

7. TERMS OF PAYMENT AND PAYMENT

7.1 Subject to our credit check, you may pay for the goods and services using the following payment methods of your choice:

Credit card (VISA, Mastercard, American Express), GooglePay (only available when ordering via a web browser), ApplePay, PayPal, Klarna.

7.2 Westwing accepts various credit cards: VISA, Mastercard and American Express. Westwing will charge your credit card for the invoice amount after receipt of the order via our payment service provider Stripe Payments Europe Ltd (registered in the Irish Commercial Register under number 3206488LH).

7.3 The payment methods ApplePay and GooglePay are processed via the payment service provider Stripe Payments Europe Ltd (registered in the Irish Commercial Register under number 32064LH).

7.4 If you select a payment method offered by PayPal, payment will be processed by the payment service provider PayPal (Europe) S.à r.l. et Cie, S.C.A., 22-24 Boulevard Royal, L-2449 Luxembourg (registered in the Commercial Register under R.C.S. Luxembourg B 118 349), subject to the PayPal Terms of Use, available at https://www.paypal.com/at/webapps/mpp/ua/useragreement-full.

7.5 Westwing also offers you the following payment options in cooperation with Klarna Bank AB (publ), Sveavägen 46, 111 34 Stockholm, Sweden (registered in the Swedish Companies Register under: 556737-0431), subject to appropriate creditworthiness: Purchase on account with payment within 30 days, payment in three interest-free instalments or financing with interest. In this case, Westwing assigns its claim to Klarna.

8. INVOICE

Westwing is entitled to send you invoices electronically or make invoices available electronically in accordance with Article 232 of Council Directive 2006/112/EC.

9. VOUCHERS

9.1 Westwing offers various types of vouchers: gift vouchers, promotional vouchers and compensation vouchers:

9.1.1 Gift vouchers

9.1.1.1 Gift vouchers are vouchers that you can purchase in the shop and redeem only at www.westwing.at, unless otherwise stated on the voucher. The gift voucher will be sent to you by email after ordering.

9.1.1.2 Gift vouchers and remaining credit from gift vouchers are redeemable until the end of the sixth year after the year in which the voucher was purchased.

9.1.1.3 Gift vouchers can only be used to purchase goods and services and cannot be used to purchase additional gift vouchers.

9.1.1.4 If the price of your order exceeds the credit balance of a gift voucher, you can pay the difference using the payment methods offered. If the price of your order is less than the credit balance of a gift voucher, you can redeem the remaining credit balance with your next order.

9.1.1.5 In the event of a contract being cancelled – for whatever reason – the purchase price will be refunded by means of a reversal entry to the voucher account and, if applicable, to the additional payment method used.

9.1.1.6 The gift voucher is transferable.

9.1.1.7 Lost voucher codes, in particular stolen voucher codes, will not be refunded. Westwing accepts no liability for lost voucher codes.

9.1.2 Promotional vouchers (including "Refer-a-friend vouchers")

9.1.2.1 Promotional vouchers are vouchers that are issued free of charge as part of advertising campaigns with a specific period of validity and cannot be purchased by you. Promotional vouchers can only be redeemed at www.westwing.at during the specified period, but cannot be used to cover shipping or assembly costs. Promotional vouchers may be subject to additional individual terms and conditions. These will be communicated to you in direct connection with the voucher.

Vouchers that you have received as a new customer based on an invitation from a Westwing member (known as a "refer-a-friend voucher") cannot be redeemed if you already have an account with Westwing, as the voucher is only redeemable by new customers.

First-time registration or new customer vouchers, which you receive once for registering on the website www.westwing.at, may only be redeemed once per customer account.

9.1.2.4 Only one promotional voucher can be redeemed per order. It is not possible to refund or credit any remaining balance of a promotional voucher that arises when the value of the purchase is less than the voucher value.

9.1.2.5 The promotional voucher is non-transferable, non-refundable and cannot be redeemed again if you return the goods or services paid for in whole or in part with the voucher within the statutory cancellation period. If you return ordered goods in part, the voucher value will be distributed proportionally among the goods ordered, i.e. in the event of the return of individual items, the voucher will be credited proportionally to the price of the returned goods and will expire in proportion to the value of the goods. If a voucher is linked to a minimum order value, this must also be reached if goods are returned in part, otherwise the voucher value will not be credited.

9.1.3 Compensation vouchers

9.1.3.1 Compensation vouchers are vouchers that cannot be purchased but are issued by Westwing at its own discretion as compensation without acknowledging any legal obligation.

9.1.3.2 The provisions applicable to promotional vouchers shall apply accordingly.

9.2 In the event of justified suspicion of fraud or other illegal or conditional activities in connection with the purchase or redemption of a voucher, Westwing may block the corresponding voucher code (even temporarily) or refuse redemption (even temporarily). In the latter case, you have the right to cancel the order.

9.3 The voucher amount cannot be paid out, nor can it be transferred for value or subsequently offset against purchases already made, i.e. after completion of the order process.

9.4 The aforementioned vouchers can only be redeemed by consumers.

10. DELIVERY AND SHIPPING CONDITIONS AND FORCE MAJEURE

10.1 Deliveries are only made within Austria to the delivery address provided by you.

10.2. The standard delivery times will be communicated to you on the respective product detail page.

10.3 Ordered goods will be shipped by Westwing either as a parcel or by a forwarding agent at its discretion, based on the size and weight of the order.

10.4 If Westwing is unable to deliver the ordered goods, Westwing will inform you immediately and give you the option to cancel the order free of charge. In this case, Westwing will refund any advance payments you have made.

10.5 Westwing cannot be held liable for non-performance or defective performance of the obligations entered into by Westwing under this contract if and to the extent that this is due to force majeure, notwithstanding the fact that Westwing will do everything in its power to minimise the consequences of such an event.

Force majeure refers to all unforeseen events or events which, even if they were foreseeable, are beyond Westwing's control and whose effects on the fulfilment of the contract could not be prevented by reasonable efforts on the part of Westwing. These include, but are not limited to, war, war-like conditions, riots, rebellion, military or civil coups, insurrection, tumult, riots, embargo, government order, fire, floods, storm surges, hurricanes or other storms of catastrophic proportions, earthquakes, lightning strikes, pandemics, epidemics, nuclear hazards or similar reasons beyond Westwing's control that make it illegal, impossible or economically unfeasible to fulfil or comply with the obligations set out in these GTC. If an event of force majeure occurs, Westwing is obliged to inform you immediately. Westwing is released from its obligation to perform for the duration of the event. Delivery and performance deadlines shall be extended appropriately. If the force majeure lasts longer than 8 weeks, Westwing and you are entitled to withdraw from the contract.

10.6 If delivery of the goods fails for reasons for which you are responsible, Westwing shall charge you the costs of a new delivery and reasonable storage costs from the date of the unsuccessful delivery. The new delivery shall also be subject to a charge if the initial delivery was free of charge for you. We will inform you of the additional costs before making a new delivery and will only carry out the delivery with your consent. Please note that refusal to accept delivery does not constitute an effective exercise of your right of withdrawal and must be expressly declared to Westwing. Westwing reserves the right to withdraw from the contract if you do not give your consent to a new delivery within 7 days. In this case, any payments already made by you will be refunded by Westwing. This also applies if you effectively exercise your right of withdrawal. In this case, you will also be refunded the costs of the initial delivery (standard shipping).

11. LIABILITY AND TRANSPORT DAMAGE

11.1 Westwing shall be liable without limitation if the cause of the damage is based on intent or gross negligence. Furthermore, Westwing shall be liable for the slightly negligent breach of essential obligations, the fulfilment of which is essential for the proper execution of the contract and on the observance of which the user may regularly rely. In this case, however, Westwing shall only be liable for the foreseeable damage typical for this type of contract. Westwing shall not be liable for the slightly negligent breach of obligations other than those specified in the preceding sentences.

11.2 The above limitations of liability do not apply in the event of injury to life, limb or health, for a defect after assumption of quality guarantees for the quality of a product and in the event of fraudulently concealed defects. Liability under the Product Liability Act remains unaffected. Insofar as Westwing's liability is excluded or limited, this also applies to the personal liability of Westwing's employees, representatives and vicarious agents.

11.3 If the goods are delivered with obvious damage to the packaging or contents, please report this to the delivery company and contact Westwing Customer Service (service@westwing.at). This report does not affect your warranty rights.

12. GURANTESSE

An additional warranty only exists if it is explicitly stated and described on the product detail page.

13. RIGHT OF WITHDRAWAL FOR CONSUMERS

You have the right to withdraw from this contract within fourteen (14) days without giving any reason. In the case of a purchase contract, the withdrawal period is fourteen days from the day on which you or a third party named by you, who is not the carrier, took possession of the goods. If the delivery is made in several partial shipments, the withdrawal period begins on the day on which you or a third party designated by you, who is not the carrier, has taken possession of the last partial shipment or the last item. In the case of a service contract, the withdrawal period begins on the day the contract is concluded.

To exercise your right of cancellation, you must inform us of your decision to cancel this contract by means of a clear statement (e.g. a letter sent by post or email) to . You can use the following sample cancellation form for this purpose, but this is not mandatory:

To meet the cancellation deadline, it is sufficient for you to send your notification of exercising your right of cancellation before the cancellation period expires.

The right of withdrawal does not apply or expires in the case of the following contracts:

for the delivery of goods that are not suitable for return for reasons of health protection or hygiene and whose seal has been removed after delivery or which, after delivery, have been mixed with other goods in such a way that they cannot be separated due to their nature;

for the delivery of goods that are manufactured according to customer specifications or clearly tailored to personal needs

for the delivery of goods that are liable to deteriorate rapidly or whose expiry date would be exceeded quickly;

for services if these have been provided in full and you have taken note of this before placing the order and have expressly approved that Westwing may begin providing the service and that you lose your right of withdrawal upon complete fulfilment of the contract.

14. CONSEQUENCES OF WITHDRAWAL

If you have cancelled the purchase contract, we shall reimburse you for all payments we have received from you, including delivery costs, without delay and at the latest within fourteen (14) days of the day on which we receive notification of your cancellation. We will use the same means of payment for the refund as you used for the original transaction, unless expressly agreed otherwise with you. In no event will you be charged for this refund. We may refuse to refund until we have received the goods back or you have provided proof that you have returned the goods, whichever is earlier.

You must return the goods immediately and in any case within fourteen (14) days of the day on which you notify us of the cancellation of the contract to the following address:

The deadline is met if you send the goods before the expiry of the fourteen-day period. We shall bear the costs of returning the goods. You shall only be liable for any loss in value of the goods if this loss in value is attributable to handling by you that is not necessary for testing the condition, properties and functionality of the goods.

If you have requested that the services should begin during the withdrawal period, you shall pay us a reasonable amount corresponding to the proportion of the services already provided up to the time you inform us of the exercise of the right of withdrawal in respect of this contract in comparison to the total scope of the services provided for in the contract.

15. VOLUNTARY RIGHT OF RETURN FOR CONSUMERS

15.1 For all purchases of goods, Westwing grants you a voluntary right of return of 30 days from receipt of the goods, in addition to the statutory right of withdrawal in accordance with Section 13. With this voluntary right of return, you may withdraw from the purchase contract even after the expiry of the 14-day withdrawal period (see Section 13) by returning the goods to Westwing within 30 days of receipt.

However, in order to exercise your voluntary right of return, you must return the goods complete, in perfect condition and undamaged in their original sales packaging. Otherwise, Westwing reserves the right to refuse the return. We would like to point out that you bear the transport risk when returning the goods under the voluntary right of return. The voluntary right of return does not apply to the purchase of gift vouchers.

15.2 The refund will be made to the payment method you used for payment. If direct debit was chosen as the payment method, no objection to the direct debit is required.

15.3 Your statutory right of withdrawal (see section 13) is not affected by compliance with the conditions set out in this section 15 and remains independent of this. Until the expiry of the statutory right of withdrawal, the conditions set out therein shall apply exclusively. This contractually granted (voluntary) right of return does not limit your statutory warranty rights, which remain unrestricted.

16. REIMBURSEMENT OF DELIVERY AND SERVICE COSTS IN THE EVENT OF PARTIAL CANCELLATION

If you revoke the contract only for part of the goods in an order (partial revocation), Westwing will refund the payments for the goods covered by the revocation, including delivery and assembly costs (if not yet assembled). However, if (parts of) the delivery and assembly costs would have been incurred even if you had only ordered the goods for which you are not revoking the contract, these costs are excluded from the refund.

17. RETENTION OF TITLE

The goods remain our property until the purchase price and all associated costs and expenses have been paid in full.

19. DATA PROTECTION

20. RIGHTS OF USE

The content of this website, including text, graphics, photos, illustrations, images, videos, sounds and software (hereinafter referred to as "material") is protected by copyright. The download or reproduction of the material for private use is permitted. Commercial use of the material in any form is not permitted unless Westwing has given its express written consent.

All trademarks used on the website may not be used without the prior written consent of Westwing.

21. ALTERNATIVE DISPUTE RESOLUTION

Westwing GmbH is not willing or obliged to participate in dispute resolution proceedings before a consumer arbitration board.

22. FINAL PROVISIONS

Any legal disputes arising from or in connection with the use of www.westwing.at shall be governed exclusively by the laws of the Republic of Austria, excluding the UN Convention on Contracts for the International Sale of Goods. Mandatory provisions of the law of the consumer's habitual residence shall take precedence if they are more favourable to the consumer.
